Terms of Service
Effective Date: March 1, 2026
These Terms of Service form a binding legal agreement between you and Hoffman Strategic Projects LLC, a Wyoming limited liability company, governing your access to and use of The Retirement Strategy platform, including our websites, mobile applications, assessment tools, AI coaching system, and related content and services.

1. Agreement to Terms
1.1 Binding Agreement and Modifications
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all additional documents incorporated by reference, including:
- Privacy Policy
- AI/Coaching Scope and Limitations Statement
- No Advice Disclaimer
- Consent to Behavioral Data Processing
- Consent to De-Identified Data Use (Pattern Library)
The Company may modify these Terms from time to time. We will post a revised version on the Platform and, for material changes, provide notice to you at least thirty (30) days in advance via email and/or in-Platform notification.
If a modification materially and adversely affects your rights or obligations, you may reject the modification by canceling your subscription within the thirty (30) day notice period. Cancellation will be effective at the end of your then-current billing period, and you will not be charged for subsequent periods. Your continued use of the Platform after the thirty (30) day period constitutes your acceptance of the modified Terms.
Material modifications include, without limitation:
- Limitations of liability or indemnification obligations
- Data use, privacy, or consent practices
- Dispute resolution mechanisms, arbitration provisions, or class action waivers
- Pricing or material economic terms of your subscription
If you do not agree to these Terms or to any updated version of them, you must stop using the Platform.
1.2 Entire Agreement
These Terms, together with the documents listed above and any other policies or notices that we expressly incorporate by reference, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior or contemporaneous communications, understandings, proposals, and agreements, whether oral or written.
1.3 No Waiver
No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure by the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
1.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
2. Description of Platform and Services
2.1 Platform Overview
The Retirement Strategy Platform is an AI-powered retirement readiness tool designed primarily for people approaching or navigating retirement, generally aged 50-65, residing in the United States. The Platform offers:
- A six-dimension retirement readiness assessment across Health, Wealth, People (relationships and social connections), Place (geography, living arrangements, and environment), Passion (interests and pursuits), and Purpose (meaning, contribution, and direction)
- Ongoing AI-driven coaching and reflective prompts tailored to your responses and behavioral signals over time
- Behavioral progress tracking and inferences based on conversation content, vocabulary shifts, completion of self-directed experiments, and quality of written or recorded reflections
- Access to educational content and structured exercises to support retirement transition
- Coaching interactions informed by a de-identified, aggregated Pattern Library built from user behavior and responses over time
The Platform is a reflection and educational tool. It does not provide medical, psychological, financial, investment, legal, or tax advice, nor does it diagnose, treat, or cure any medical or psychological condition, nor provide individualized investment or financial planning.
2.2 Subscription Model
The Platform is provided on a subscription basis. Subscription details, including subscription tiers, fees and billing intervals, free trial terms, renewal policies, and cancellation procedures, will be disclosed at the point of purchase and in your account settings. All fees are stated in U.S. dollars and are exclusive of applicable taxes, which are your responsibility unless otherwise required by law.
2.3 Availability, Maintenance, and Changes
We use reasonable efforts to make the Platform available and to maintain performance and security. However:
- We do not guarantee that the Platform will be uninterrupted, timely, secure, or error-free
- We may temporarily suspend or limit access to the Platform for maintenance, upgrades, security remediation, or other operational reasons
- We reserve the right to modify or discontinue any aspect or feature of the Platform at any time, including content, features, and capabilities, with or without notice, subject to any applicable refund rights described in these Terms or under applicable law
You acknowledge that service interruptions, delays, or data loss can occur despite commercially reasonable safeguards.
2.4 Accessibility
We are committed to making the Platform reasonably accessible to individuals with disabilities, consistent with the Americans with Disabilities Act (ADA) and recognized web accessibility standards such as WCAG 2.1 Level AA, to the extent practicable.
If you experience difficulty using any part of the Platform due to a disability or accessibility issue, please contact us at support@theretirementstrategy.ai. Include:
- A description of the issue
- The page, feature, or function involved
- The assistive technology you are using (if applicable)
We will review your request and respond within a reasonable time, typically within ten (10) business days, and will make good faith efforts to address accessibility barriers.
3. User Accounts and Eligibility
3.1 Account Creation
To use core features of the Platform, you must register and create an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your information as needed
- Maintain the confidentiality of your login credentials
- Not share your account credentials with anyone else
- Notify us immediately at support@theretirementstrategy.ai if you suspect unauthorized access or use of your account
You are responsible for all activities that occur under your account, whether or not you authorized them.
3.2 Eligibility Criteria
By creating an account and using the Platform, you represent and warrant that:
- You are at least 18 years of age
- You reside in the United States
- You have the legal capacity and authority to enter into these Terms
- You will use the Platform for personal, non-commercial purposes only
- Your use of the Platform complies with all applicable laws and regulations
The Platform is not intended for, and should not be used by, individuals under 18 years of age.
3.3 Account Use and Restrictions
You agree not to:
- Use another person's account without their permission
- Create more than one account for yourself without our prior written consent
- Use the Platform for any unlawful, fraudulent, disruptive, or abusive purpose
- Sell, resell, rent, lease, or otherwise transfer your account or access credentials
- Use automated scripts, bots, scrapers, or similar technologies to access the Platform, except as expressly permitted by us in writing
We reserve the right to refuse registration, suspend accounts, or terminate accounts for any lawful reason, in accordance with these Terms.
4. Intellectual Property and User Content
4.1 Ownership of the Platform
The Platform and all materials on or available through it, including text, graphics, user interface, visual interfaces, photographs, logos, sounds, music, artwork, algorithms, coaching methodologies, assessment structures, and software (collectively, Platform Content), are owned by or licensed to the Company and are protected by intellectual property and other laws.
The Retirement Strategy and all associated logos and marks are trademarks or service marks of the Company. All other trademarks appearing on the Platform are the property of their respective owners.
4.2 Limited License to You
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform, and view and engage with Platform Content, solely for your personal, non-commercial use in connection with your own retirement readiness reflection and planning.
You may not:
- Copy, reproduce, distribute, publicly display, publicly perform, or create derivative works of the Platform Content, except as explicitly permitted by us
- Modify, adapt, translate, reverse-engineer, decompile, disassemble, or attempt to derive source code from the Platform, except where such restrictions are prohibited by law
- Use Platform Content for training or creating competing products or services
- Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices
4.3 User-Generated Content and License
User-Generated Content means any information, text, reflections, responses, journal entries, audio or video submissions, feedback, or other materials you submit, upload, transmit, or otherwise make available on or through the Platform.
You retain ownership of your User-Generated Content, subject to the rights you grant us. By submitting User-Generated Content, you represent and warrant that:
- You have all necessary rights and permissions to submit and license the content
- Your content does not infringe or misappropriate any third-party rights or violate any applicable law
- Your content does not contain unlawful, harmful, or abusive material
You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, store, and display your User-Generated Content to operate, maintain, and provide the Platform to you. You also grant us a perpetual, irrevocable, royalty-free license to use your User-Generated Content in de-identified and aggregated form for:
- Improving, training, and validating our AI and coaching models
- Developing and refining our Pattern Library
- Internal research and analytics
- Benchmarking and understanding usage patterns
4.4 Deletion Rights
You may request deletion of your User-Generated Content and/or your account by contacting us at support@theretirementstrategy.ai. Subject to our obligations to retain certain data for legal, audit, or security reasons, we will:
- Delete or anonymize your identifiable User-Generated Content from active systems within thirty (30) days of verifying your request
- Retain and continue to use any de-identified, aggregated data we previously created from your content

5. User Conduct and Enforcement
5.1 Prohibited Conduct
You agree not to use the Platform to:
- Violate any applicable federal, state, or local law or regulation
- Submit content that is unlawful, defamatory, libelous, harassing, threatening, hateful, discriminatory, obscene, or otherwise objectionable
- Impersonate any person or entity, falsely state or misrepresent your affiliation
- Attempt to gain unauthorized access to any other user account or our systems
- Interfere with or disrupt the operation of the Platform or the servers or networks used to make it available
- Use bots, scrapers, or other automated tools to access the Platform in a manner that exceeds the scope of a standard user interface
- Collect, store, or harvest information about other users without their explicit consent
- Reverse-engineer, test, or probe the Platform in order to discover vulnerabilities
- Use the Platform to provide any competing services or to develop or train your own AI or coaching tools
- Engage in conduct that we reasonably determine, in good faith, to be harmful to other users, the Company, or the integrity or security of the Platform
5.2 Enforcement and Account Termination
We reserve the right, but do not undertake an obligation, to monitor use of the Platform and User-Generated Content to enforce these Terms.
If we reasonably believe that you are violating or have violated these Terms, we may take one or more of the following actions, depending on the nature and severity of the conduct:
- For minor or first-time violations: Issue a written warning or request that you cure the violation within thirty (30) days
- For material violations: Temporarily suspend your account or certain features, provide written notice, and allow thirty (30) days for appeal
- For severe violations (fraud, unlawful activity, threats to security): We may immediately suspend or terminate your account without prior notice
Upon termination, your license to use the Platform ends immediately. Termination does not relieve you of any payment obligations that accrued prior to termination.
6. Fees, Billing, and Refunds
6.1 Subscription Fees
You agree to pay all subscription fees and charges associated with your chosen plan, as described at the time of purchase and in your account settings. Fees are payable in advance for each billing period and are non-refundable except as expressly provided in these Terms or required by law. Taxes, including sales, use, and similar taxes, will be added where applicable and are your responsibility.
6.2 Billing and Automatic Renewal
Unless otherwise stated at the time of purchase, your subscription will automatically renew at the end of each billing period for the same term and at the then-current rate.
To change your subscription plan, update your payment method, or cancel your subscription, you may do so through your account settings or by contacting us at support@theretirementstrategy.ai. Your request will be processed in accordance with applicable law.
6.3 Refunds
Refund Policy: Unless otherwise required by law, all subscription fees are non-refundable. Refund requests must be submitted in writing to support@theretirementstrategy.ai within thirty (30) days of the charge date. We will review refund requests on a case-by-case basis and will notify you of our decision within fifteen (15) business days.
6.4 Payment Methods and Processing
Payment is processed through third-party payment processors. We do not store or handle your payment card information. Your payment card information is subject to the privacy and security practices of the payment processor, and you should review their terms and privacy policies before providing your payment information.
6.5 Past-Due Amounts
If your account becomes past-due, we may suspend your access to the Platform until payment is received, or terminate your subscription. You will remain responsible for all charges incurred up to the date of suspension or termination.
7. Disclaimers and Limitation of Liability
7.1 AS-IS and AS-AVAILABLE
THE PLATFORM AND ALL PLATFORM CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 No Guarantee of Results
WE DO NOT GUARANTEE THAT THE PLATFORM WILL MEET YOUR EXPECTATIONS, ACHIEVE ANY PARTICULAR RESULTS, OR IMPROVE YOUR RETIREMENT READINESS OUTCOMES. USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
7.4 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. If you are a consumer in such a jurisdiction, some of the limitations in this Section may not apply to you, and you may have additional rights under your local laws.
7.5 Health, Medical, and Safety Disclaimers
The Platform does not provide medical advice, diagnosis, or treatment. If you experience a medical emergency, call 911 or your local emergency number immediately. For mental health crises, contact 988 (Suicide and Crisis Lifeline) or your local crisis service.
7.6 Third-Party Content
The Platform may contain links to third-party websites, applications, and services that are not operated by the Company. We are not responsible for the accuracy, completeness, timeliness, or legality of third-party content, and your use of third-party services is at your own risk and subject to their terms and policies.
7.7 Accessibility Disclaimer
While we are committed to accessibility, the Platform may not be fully accessible to all individuals with disabilities. If you encounter accessibility issues, please contact us at support@theretirementstrategy.ai.
8. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Platform; (c) your User-Generated Content; or (d) your infringement or misappropriation of any third-party intellectual property rights or other rights. This indemnification obligation shall not apply to the extent that the claims arise solely from the Company's gross negligence or willful misconduct.
9. Intellectual Property Claims
If you believe that any content on the Platform infringes your intellectual property rights, you may notify us by sending a written notice to support@theretirementstrategy.ai that includes:
- Your name, contact information, and good-faith statement that you own or are authorized to represent the intellectual property
- A detailed description of the infringing content and its location on the Platform
- A statement that you have a good-faith belief that the use is not authorized
- Your signature (physical or electronic)
We will investigate and respond to valid claims in accordance with the DMCA and applicable law.
10. Privacy and Data
Your privacy is important to us. Please review our Privacy Policy at /privacy for information about how we collect, use, process, and protect your personal data.

11. Third-Party Links and Services
The Platform may contain links to third-party websites, applications, and services. We do not endorse, sponsor, or control any third-party content or services, and we are not responsible for their accuracy, completeness, or legality. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
12.2 Informal Resolution
Before initiating any formal legal proceeding, you and the Company agree to attempt to resolve the dispute informally by sending written notice to support@theretirementstrategy.ai that includes: (a) a detailed description of the dispute, (b) the remedy sought, and (c) your proposed resolution. The parties will make good-faith efforts to resolve the dispute within sixty (60) days of receipt of the notice.
12.3 Arbitration Agreement
Except as provided in Section 12.4, you and the Company agree that any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by final and binding arbitration, administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules and Procedures (CARB).
The arbitration shall be conducted as follows:
- Location: Cheyenne, Wyoming, or such other location as the parties mutually agree
- Cost and Fees: Each party shall bear its own attorney's fees and costs. The Company shall pay the arbitrator's fees and JAMS administrative fees to the extent required by law
- Discovery: The parties shall be entitled to discovery as provided under the JAMS rules
- Award: The arbitrator shall issue a written award that includes findings of fact and conclusions of law. The award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
12.4 Exceptions to Arbitration
The following matters are exceptions to the arbitration agreement and shall be resolved in court:
- Small claims brought in small claims court (if you are an individual)
- Claims for equitable relief (e.g., injunctions, specific performance) that cannot be remedied by arbitration
- Claims related to intellectual property infringement
12.5 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITY, AND NOT ON BEHALF OF ANY OTHER PERSON OR ENTITY, AND THAT SUCH CLAIMS MAY NOT BE BROUGHT OR JOINED IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
This class action waiver shall apply to the maximum extent permitted by law. If a court or arbitrator determines that this waiver is unenforceable as to some or all claims, those claims shall be severed and brought in court, while remaining claims shall proceed to arbitration.
12.6 Opt-Out Right
You may opt out of this arbitration agreement and class action waiver by sending written notice to support@theretirementstrategy.ai within thirty (30) days of your first use of the Platform. Your notice must include: (a) your name and email address associated with your account, (b) a clear statement that you are opting out of this arbitration agreement, and (c) your signature. If you timely opt out, all other terms of these Terms of Service will continue to apply, but you and the Company will resolve any disputes in court rather than in arbitration.
13. General
13.1 Amendment and Modifications
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and, for material changes, providing notice to you at least thirty (30) days in advance via email or in-Platform notification. Your continued use of the Platform after the notice period constitutes your acceptance of the updated Terms.
13.2 Entire Agreement
These Terms, together with the Privacy Policy, AI/Coaching Scope and Limitations Statement, No Advice Disclaimer, and Consent documents, constitute the entire agreement between you and the Company and supersede all prior or contemporaneous agreements and understandings, whether written or oral.
